Steven
L. Tofel, President |

Mr.
Tofel is the qualifying party for Tofel Construction for general
building contractor licenses in Arizona and New Mexico. He serves as
president of T.A. Construction Company, Inc. and TA-Wallick Construction
LLC
Mr. Tofel graduated from the
University of Arizona in 1964 with a Bachelor of
Science degree in Electrical Engineering. He
|

entered the real estate industry in
1979 and formed T.A. Construction in 1984 with his brother,
Richard. Construction related
professional experience and qualifications include the following:
*
1984
to 1993 - completed over $10 million in professional and medical office
buildings, strip shopping centers, apartments, and custom homes.
*
1993
to 1998 - entered into a joint venture with Wallick Construction Company
of
Columbus,
Ohio
, for the
purpose of building multi-family residential projects.
*
1998
to 2004 - entered into a revised venture with Wallick Construction
Co., forming TA-Wallick Construction LLC, specializing in multi-family
housing projects. Projects
include luxury, affordable, senior, and student living complexes.
* May 2004
to present - negotiated a
separation from Wallick Companies, resulting in 100 percent ownership
TA-Wallick Construction by T.A. Construction and renamed the company
Tofel Construction. The goal and values
of the company have not changed.

Richard
M. Tofel, Chief Financial Officer |
|
Mr. Tofel is the C.F.O.
of Tofel Construction and holds an Arizona real estate broker’s license.
He holds the office of Secretary of T.A. Construction Company and is CFO
of TA-Wallick Construction LLC. He oversees all financial
operations of Tofel
Construction.
Mr. Tofel graduated from the University of
Arizona in 1964 |

with a
Bachelor of Science degree in Aerospace
Engineering, and was
a member of the first
ever graduating
class in this field. Following
graduation, Mr. Tofel worked for
5 1/2 years
with McDonnell
Astronautics Division of McDonnell Aircraft Company (now
Boeing) on both the
Gemini and Skylab space
programs.
In 1969 Mr. Tofel started a
career in
real estate
brokerage, development,
and construction which
led from
Vail, Colorado
to Tucson, Arizona.
His experience in this phase of
his business career included
fiscal and personnel management
of a real estate
sales and management
company, sales
training, and direct sales.
In developing
shopping centers,
office buildings and subdivisions, he gained additional skills in
dealing with governmental regulations,
financing and
management of projects.
Mr. Tofel
joined his brother, Steve, in forming Tofel Construction. to build several projects in Tucson.
While
maintaining an interest in the construction business, Rich formed
several other businesses in Tucson, one in the alternative fuel
conversion business, the second a manufacturing business, Phoenix
Systems, L.L.C.

Stephen B.
Krauss, Director of Contracts Administration |
|
Mr. Krauss got started at a young age in the
construction business by working in his father's construction company. He then
majored in Regional Science at the University of Pennsylvania. After college he
moved to Tucson and continued his career in the construction industry working in
the carpentry trade and then as a field superintendent. |
|
After ten years in Tucson, Mr. Krauss
moved to Chicago where he spent six years as the director of property management
for a commercial and multi-family residential real estate development firm. He
then returned to construction by forming his own construction company. He spent
five years operating his new venture while specializing in commercial and
residential remodeling as well as new construction.
In 1993 he returned to Tucson and
joined Tofel Construction where he served as a Project
Superintendent and later became a Project Manager. He now serves ably as
Contract Administrator. With this extensive
background, organizational skills and dedication to detail, Mr. Krauss
provides knowledgeable and timely service for all Tofel Construction
projects.

Bill Rutherford, Information Technology Manager |
| Mr. Rutherford joined
Tofel Construction
in July 1990 as Chief Financial Officer. Having previously written the computer
software being used by Tofel Construction for accounting and job costing,
he also served as the de facto Information Technology department. Through the
years, he has moved a larger portion of his duties to the area of Information
Technology. |
|
Prior to his employment with Tofel
Construction , Mr. Rutherford worked as an accountant for a general
contractor in Missouri. During the four years he worked there, he learned
Computer Programming and wrote accounting software for that company.
Subsequently, he moved to Tucson, Arizona and operated a software development
company for three years.
Mr. Rutherford is a graduate of the University
of Missouri with a Bachelor of Science in Business Administration and also
attended Graduate School at the University of Missouri. He served in the U.S.
Army for three years and was honorably discharged. He also has gained work
experience in manufacturing and scheduling while being employed by 3M Company.

Ron
Sipp, Controller |
| Mr.
Sipp is the Controller of Tofel Construction.
Never passing up the opportunity to learn, he has a BA degree in
philosophy from
Wheaton
College
(1963), a JD degree from Northwestern University School of Law (1966)
and a MA from Denver Seminary (1984).
During his working years, he was licensed as an attorney in
Illinois
,
Michigan
and
Colorado
. He has also been
licensed as a CPA in Michigan, Colorado and
Arizona |

He served two years in the
US Army as an artilleryman and was discharged as a Captain.
Joining Tofel Construction is a new
experience for him. It is the first time in over 25 years that he
has not been self-employed. For 17 years he was actively
practicing as a CPA in Colorado and Arizona and for 11 years a co-owner
of several family corporations in Ohio that included a machine shop, a
welding and fabrication operation and a Blanchard grinding
company. An industrial injury in 2001 resulted in him selling his
interest and moving back to Tucson to join Tofel Construction.
Ron has known Rich since 1973
and Steve for over 20 years. He was the CPA for T.A. Construction
from its founding until 1990 when he left Tucson and moved to
Ohio. Both he and his wife are ecstatic to be back in Tucson.

Bill Cauthen,
Director of Construction |
|
Mr.
Cauthen is an integral part of Tofel Construction with over 22 years of
extensive construction experience. An Arizona native, he attended
Arizona State University before moving to California. There he spent 4
years as a union nailer, learning the trade before opening his own
nailing firm specializing in houses, apartments, and condos. |
|
He
returned to Arizona in 1993 and accepted a position as a journeyman
carpenter for a large industrial firm. He moved up quickly through the
ranks and was promoted to a management position in the mining division
for Arizona and New Mexico.
When copper prices fell
and the mines closed, Mr. Cauthen chose to stay in Arizona He started
with Tofel Construction as a project superintendent in 1998. His skill
was quickly recognized and he’s been promoted from superintendent to
general superintendent and then construction manager over all projects,
and is currently Tofel’s director of construction.

David
Z. Dent, Project Manager |
|
Mr.
Dent graduated from the
University
of
Arizona
in 1997 with a Bachelor’s Degree in Materials Science and Engineering.
Prior to completing his coursework, he had started two small
companies. Mr. Dent worked
in the field of materials research for three years as an undergraduate
research assistant at the Arizona Materials Laboratories and for three
years as an engineer. He worked on everything from optical thin films to |
|
vacuum casting and processing of high-temperature and
high-performance ceramic composites for the aerospace industry.
His work resulted in five published papers, and he is co-inventor
on a U.S. Patent.
Mr. Dent accepted the opportunity and made a career change into the
construction business by joining Tofel Construction in October 2000. He
has moved rapidly through many assignments, first as an assistant to
senior project manager J.L. Healy and president Steve Tofel, and then as
an assistant superintendent and superintendent From October
2003 to July 2005 he created and headed up the Development Services
Department, handling all estimating and project development coordination
with customers. In 2005 Mr. Dent became project manager and enjoys
being back out in the field.

Dave Maggart,
Project Manager |
|
A Tucson native, Mr. Maggart put
himself through college working in Alaskan fisheries and as an athletic
trainer. He graduated from the University of Arizona with a Bachelor’s
degree in Sociology in 1997.
Having always been fascinated by the
idea of creating something from nothing, he pursued a career in
construction. |
|
He was hired as a construction
superintendent straight out of college by a design/build firm where he
learned the ins and outs of the construction business. He traveled
throughout Arizona, Nevada, California and Michigan building commercial
projects, office buildings and assisted living facilities.
Mr. Maggart joined Tofel Construction in
2001 where he put his valuable experience to good use. He started as a
superintendent on projects in Tucson and New Mexico. He was promoted to
Project Manager in 2003 where he currently enjoys great success.

Jim Tofel,
Development Coordinator |

Mr. Tofel graduated from the
University of Arizona in 1991 with a Bachelor of Science degree in
Electrical Engineering. Following graduation, he worked for
Accenture (formerly Andersen Consulting) for over eight years
specializing in financial reporting and accounting systems. His
project experience includes Microage Computers, the Dial Corp, Hunt- |
|
Wesson,
M&M Mars, Kal Kan, PacifiCare, the United Nations Drug Control Program (UNDCP),
the United Nations High Commissioner for Refugees (UNHCR) and United
HealthCare. Following Accenture, Mr. Tofel worked at Cadence Design Systems
where he led a $35M customer relationship management project.
Mr. Tofel joined Tofel Construction in
2002. He started as a field superintendent and has worked in the
estimating department since 2003. He currently leads the estimating
department and works on the preliminary development of projects.

Ray Johnson, Safety
Director |
Mr. Johnson is the Safety Director for Tofel Construction, with over 35
years of construction experience. He is a native of Little Rock,
Arkansas, but has traveled throughout the United States as a child with
his family, while in the military, and as an employee of the U.S.
Department of Housing and Urban Development. He is a graduate of the
HUD Institute for Architectural Construction Analysts and has attended the

| University of Baltimore, Yuba
City College, Los Angeles City College and Mount Hood Community College
in Gresham, Oregon, from which he received an AA degree in General
Studies.
Before becoming a HUD employee, Ray served four years as a Security NCO
for the Strategic Air Command during the Vietnam era.
After serving in the Air Force, Ray began working for the Department of
Housing and Urban Development. As a HUD employee he worked as an
Architectural Construction Analyst, Architectural Design Analyst, Cost
Analyst, General Engineer and Construction Representative.
Before working for Tofel Construction, Ray operated his own business for
ten years, which consisted of construction and maintenance management
consultations, home and rehabilitation construction and government
infrastructure inspections.
Upon becoming a Tofel employee, Ray attended the OSHA Institute and is
now a certified trainer and inspector. As the Tofel Safety Director, he
strives to keep our jobs safe and hazard free, which is an integral part
of the Company’s Core Values. Safety is the priority during all
construction phases.
